Effective Date: October 1, 2024

The following Terms and Conditions (“T&Cs”) outline the terms that shall govern Your (“You,” “Your,” “Yourself” or “User”) access, use, download, or installation of the Travel & Earn platform, which may be accessed via the website www.timestringssystem.com (“Website”), any related application, including the Travel & Earn application (the “App”), or any associated API (collectively referred to as the “Travel & Earn Platform” or the “Platform”). These T&Cs, along with any provisions referenced herein, constitute a binding legal agreement between You and Travel & Earn (hereinafter referred to as “Travel & Earn,” “we,” “us,” or “our”) as well as with other Users of the Platform. By accessing or using the Travel & Earn Platform in any capacity, you confirm that You have read, understood, and agreed to be bound by these T&Cs.

Definitions

For the purpose of these T&Cs, the following terms shall bear the meanings ascribed to them below:

• “Sender” refers to any individual or entity that creates an account on the Travel & Earn App and/or has entered into an agreement with Travel & Earn for the purpose of accessing and utilizing the Travel & Earn Platform to engage independent service providers for the execution of delivery services (“Delivery Services”), or for whose benefit such Delivery Services are undertaken.
• “Traveler” refers to any individual or entity that creates an account on the Travel & Earn Platform as a Traveler and/or undertakes Delivery Services, whether at the request of or for the benefit of a Sender.
• “Recipient” refers to any individual or entity that receives items sent by a Sender at the Destination City.
• All Users of the Travel & Earn Platform, including Travelers, Senders, and Recipients, are collectively referred to as “Users“.
• The performance of Delivery Services by a Traveler, as well as the personal property or goods being picked up and/or delivered by the Traveler, are collectively referred to as a “Gig“.
• “Consignment” refers to the item or parcel that the Sender intends to dispatch.
• “Conditions” refers to these General Conditions of Use, which include the Good Conduct Charter and the Privacy Policy of Travel & Earn as made available on the Website/App.

Acceptance of Conditions

The Conditions herein shall apply to any and all use of the Website/App by any Member. By accessing or using the Website/App, Members expressly signify their full acceptance of these Conditions and agree to be legally bound by them.

No Member shall be permitted to access or use the Services unless these Conditions are accepted in their entirety. Members are not entitled to accept any portion of the Conditions in part. Should a Member disagree with these Conditions, such Member shall be prohibited from using the Services.

All Members hereby agree to adhere to the Conditions and acknowledge that their personal data may be processed in accordance with the Privacy Policy.

In the event of any failure by a Member to comply with the Conditions, Travel & Earn reserves the right, at its sole discretion and without any obligation, to terminate the concerned User Account and suspend or withdraw all Services provided to such Member, without prior notice.

These Conditions are intended to establish binding rights and obligations between the Members and Travel & Earn, in accordance with the provisions of the Indian Contract Act, 1872.

Variation of the Conditions, Site, and Service

Travel & Earn retains the right to modify these Conditions at any time. Furthermore, Travel & Earn reserves the right to alter or amend the Services offered through the Website and/or the App, including changes to the functionality, features, and “look and feel” of the Website and/or App, without prior notice and without any liability to the Members.

Any modification to the Website/App, Services, or Conditions shall become effective immediately upon publication of such changes on the Website/App. It is Your responsibility to regularly review any updates to these T&Cs. Your continued access or use of the Travel & Earn Platform following the publication of any changes shall be deemed as Your consent to and acceptance of the modified T&Cs. Such continued use shall constitute Your agreement to be bound by the updated T&Cs, regardless of whether Travel & Earn provides prior notice of these changes.

The Travel & Earn Platform

The Travel & Earn Platform offers Senders self-enabled logistics services via the proprietary Travel & Earn App. These services include: the ability to crowdsource independent service providers for performing Delivery Services; access to real-time electronic tracking and proof of pickup and delivery; the option to select from various service providers based on delivery schedules and pricing through Travel & Earn’s proprietary algorithm; and the facility to make electronic payments to Travel & Earn for Delivery Services, following which Travel & Earn will deduct a commission and remit the remainder to the service provider.

Neither Travel & Earn nor the Website/App directly provides courier or delivery services. The Website/App serves as a communication platform enabling Users to transact with each other. Travel & Earn does not interfere with or determine the specifics of Gigs, such as destinations or timings. The agreement regarding a Gig, including the carrying of consignments, is solely between the Traveler and the Sender. Travel & Earn is not a party to such agreements or transactions and bears no liability concerning any issues that arise from bookings between Members. Travel & Earn does not act and shall not act as an agent for any Member.

The Travel & Earn Platform also enables Travelers to receive notifications of and access to delivery requests made by Senders through the Platform, and to offer their services to perform those Delivery Services. Similarly, the Platform enables Senders to receive notifications of, and access to, the travel details of Travelers who are offering Delivery Services, and to select a service provider accordingly.

Travel & Earn provides communication services (“Travel & Earn Services”), and Travelers provide Delivery Services. Travel & Earn’s role as a developer and operator of a communication platform is distinct from the Traveler’s role of providing Delivery Services. However, for the sake of convenience, the Travel & Earn Services and the Delivery Services may collectively be referred to as the “Services” where context requires.

Travel & Earn reserves the right to discontinue or refuse the provision of the Service in the event of: (i) changes in applicable laws, regulatory practices, or case law, (ii) changes in market practices or technological advancements, (iii) business considerations affecting the underlying Services, or (iv) other significant and valid reasons. Travel & Earn shall not be held liable to any Member in the event the Website/App becomes non-operational.

Travel & Earn functions solely as a communication platform and does not provide delivery or transportation services. It is not a logistics or courier service provider.

Travelers are independent service providers who choose to use the App to gain access to delivery requests made by Senders. Travelers do not perform Delivery Services on behalf of Travel & Earn, nor are they engaged by Travel & Earn for such services.

User Agreements, Representations, and Warranties

By accessing or using the Travel & Earn Platform or receiving or performing Services, You expressly agree, represent, and warrant that, at each instance of such access or use:

• To utilize the Services, each Member must establish a User Account and provide any personal information requested by Travel & Earn, including but not limited to, first name, last name, age, title, valid telephone number, and email address. Access to the Site is restricted to individuals aged 18 years or older at the time of registration.
• You have the legal capacity, authority, and right to enter into and comply with the agreements outlined in these T&Cs and to fulfill your obligations hereunder.
• Your use of the Platform is exclusively for your own purposes and may not be resold to any third party.
• You will adhere to these T&Cs and comply with all applicable local laws, regulations, and orders issued by any governmental authority (“Applicable Law”) in relation to your use of the Platform.
• You shall create and maintain only one User Account.
• You will safeguard and maintain the confidentiality of your User Account password or any other credentials that provide access to the Platform.
• You will provide Travel & Earn with any reasonably requested proof of identity and will not impersonate any individual or entity, or falsify or misrepresent your identity or affiliation with any person or entity.
• You will not portray yourself as an agent, subcontractor, representative, employee, or affiliate of Travel & Earn or any of its subsidiaries or affiliates.
• You will access and use the Platform solely for lawful purposes and in accordance with all Applicable Law, and will not use the Platform to promote, encourage, or engage in illegal activities or assist others in committing crimes.
• You will maintain strict confidentiality and will not access, disclose, or use any third parties’ Confidential Information (as defined below) for any purpose other than to receive or perform Services as intended or to fulfill your obligations under these T&Cs.
• You will not collect or store any information, including Confidential Information, about Travel & Earn personnel, other Users, or recipients, except as necessary to receive or perform Services as intended or to fulfill your obligations under these T&Cs.
• You will not directly contact Travel & Earn personnel, other Users, or recipients outside the Platform or after the activity is complete unless strictly necessary to fulfill your obligations under these T&Cs.
• You will not copy, distribute, or use text, graphics, images, music, software, audio, video, information, trademarks, logos, or other materials related to our business or Platform except as specifically permitted by these T&Cs.
• You will not access or use the Platform in a manner that could cause harm, nuisance, annoyance, or inconvenience, or that interferes with or negatively affects other Users’ ability to use or enjoy the Platform.
• You will not infringe upon the rights of any third party, including other Users and Travel & Earn, including but not limited to their intellectual property, privacy, publicity, or contractual rights.
• You will not assist any third party in any of the aforementioned prohibited actions.
• Any breach of these Conditions may result in the immediate suspension of the offending Member’s User Account and restriction from accessing further Services.

Management of Disputes Between Members

Travel & Earn may, at its sole discretion, offer Members an online service for the resolution of disputes. This service is non-binding and Travel & Earn is under no obligation to facilitate dispute resolution. The availability of this service is entirely at Travel & Earn’s discretion and may be withdrawn at any time.

Verification of IDs and Phone Number

By agreeing to these terms and conditions, each Member or individual seeking to register as a Member consents to Travel & Earn collecting and verifying their identification documents, including but not limited to, passport, PAN card, and Aadhaar card, through third-party service providers.

To enhance trustworthiness and to prevent errors such as typos and incorrect numbers, Members may verify their mobile phone numbers. This can be done by providing Travel & Earn with their mobile number. The Member will then receive an SMS containing a 6-digit verification code, which must be entered on the Site for validation. This verification service is provided at no cost, though the Member may incur charges from their mobile phone operator for receiving the SMS.

Contacting Members

By accepting these terms and conditions, each Member consents to receive communications from Travel & Earn via phone calls, SMS, email, and any other means deemed appropriate by Travel & Earn. Such communications may be recorded through third-party technical support services for purposes including but not limited to training, quality assurance, and providing regular updates about Travel & Earn’s services.

Messages Between Members

Travel & Earn reserves the right to review, scan, and moderate messages exchanged between Members on the Site, primarily for purposes including fraud prevention, customer support, enforcement of contractual obligations (such as the Conditions), and ensuring compliance with applicable laws. For example, to prevent bypassing its Booking Service, Travel & Earn may scan and analyze messages to ensure they do not contain contact details or references to external websites.

By using the Site and accepting the T&Cs, Members consent to Travel & Earn’s right to review, analyze, and moderate messages exchanged through the Site at its sole discretion.

Members agree not to use the messaging feature to send or write any messages that are prohibited by applicable law. Specifically, Members agree not to send messages that:

• Belong to another person without authorization.
• Are grossly harmful, harassing, blasphemous, defamatory, obscene, or pornographic.
• Harm minors in any way.
• Infringe upon any patent, trademark, copyright, or other proprietary rights.
• Violate any current laws.
• Deceive or mislead the recipient about the origin of the message or include information that is grossly offensive or threatening.
• Impersonate another person.
• Contain software viruses that impair the functionality of computer resources.
• Threaten the unity, integrity, defense, security, or sovereignty of India, its relations with foreign states, public order, or incite or obstruct the investigation of any cognizable offence.

Additionally, Members agree not to use the messaging feature for private or confidential communications.

Travel & Earn reserves the right to filter or delete messages and to suspend or terminate the User Account of any Member found to be in violation of these Conditions or applicable laws during the moderation of messages.

Non-Discrimination Policy

You hereby agree that you shall not engage in any form of discrimination against any User, employee or personnel of Travel & Earn, beneficiaries, or any third party on the grounds of race, religion, nationality, disability, sexual orientation, gender, marital status, gender identity, age, or any other characteristic as protected by applicable law. It is imperative that all Users are made to feel secure and welcome, and Travel & Earn shall not condone any discriminatory behavior or conduct on the part of Users.

Respect Others Policy

You hereby agree that you shall refrain from engaging in any conduct that involves stalking, intimidating, threatening, harassing, or causing physical or mental distress, or from exhibiting any form of aggressive, confrontational, intimidating, or threatening behavior toward any User, personnel of Travel & Earn, recipients, or any third party. Such prohibited conduct includes, but is not limited to:

• Striking, injuring, or attempting to injure any person or animal, or making any threats to do so.
• Using language or gestures that could be construed as disrespectful, harassing, or threatening.
• Engaging in any form of assault, harassment, or misconduct, including sexual misconduct. Assault includes any intentional physical contact made without the explicit consent of the other party, and sexual harassment and misconduct include, without limitation, unconsented advances, behaviors, and remarks such as nudging, whistling, winking, flirting, discussing one’s own or another person’s sexual life, using explicit language, or making jokes of a sexual nature.
• Disrespecting personal space or privacy, such as standing unnecessarily close to others, or making comments on personal appearance, perceived gender identity, sexual orientation, or asking unrelated personal questions.

Failing to respect others may lead to Your deactivation from the Travel & Earn Platform.

Keeping the Travel & Earn Community safe, friendly and helpful for all means that all Users of our Platform have a responsibility to treat each other and all third-parties they encounter while using the Platform with respect and dignity.

ANY USER FOUND TO BE IN BREACH OF THE NON-DISCRIMINATION POLICY OR RESPECT OTHERS POLICY SHALL BE DENIED ALL ACCESS TO AND USE OF THE TRAVEL & EARN PLATFORM.

Confidential Information

In the course of using the Travel & Earn Platform to provide or receive services, all Users may gain access to Confidential Information belonging to third parties, including but not limited to that of Travel & Earn, Travelers, Senders, Recipients, and their respective personnel, contractors, and customers. “Confidential Information” refers to any information, whether oral or written, or stored on electronic media or otherwise, that a User may be granted access to or that is made available to the User in connection with the use of the Platform. This includes, without limitation, names, addresses, phone numbers, and any other information that may be used to identify an individual either on its own or when combined with other personal or identifying information, such as Personally Identifiable Information (PII). It is essential to understand that even non-PII can become PII when additional information is obtained, which, when combined with other available data, could be used to identify a specific individual.

BY USING THE TRAVEL & EARN PLATFORM FOR RECEIVING OR PERFORMING SERVICES, USERS MAY COME INTO POSSESSION OF CONFIDENTIAL, PROPRIETARY, PERSONALLY IDENTIFIABLE, AND/OR PROTECTED HEALTH INFORMATION OF THIRD PARTIES.

YOU HEREBY EXPRESSLY ACKNOWLEDGE AND AGREE THAT, AS A USER OF THE TRAVEL & EARN PLATFORM, YOU ARE BOUND BY A STRICT OBLIGATION TO MAINTAIN THE COMPLETE CONFIDENTIALITY OF ALL SUCH CONFIDENTIAL AND PERSONAL IDENTIFIABLE INFORMATION. YOU FURTHER UNDERSTAND THAT UNDER NO CIRCUMSTANCES SHALL YOU DISCLOSE SUCH INFORMATION TO ANY OTHER PERSON OR USE IT FOR ANY PURPOSE OTHER THAN TO PROVIDE OR RECEIVE SERVICES VIA THE TRAVEL & EARN PLATFORM AS INTENDED.

If Travel & Earn collects or uses your personal information in relation to your access to and use of the Travel & Earn Platform, its services, or delivery services, such collection and usage shall be governed by the terms outlined in our Privacy Policy.

Senders and Senders’ Responsibilities

Sender’s Agreements, Representations, and Warranties

• Before using any services on the Travel & Earn Platform, you hereby represent and warrant that you possess the legal right and authority to use the services and are duly authorized to send the items you intend to dispatch.
• You agree to accurately disclose all items contained in your consignment and to ensure that no “Prohibited Items” are included.
• You further agree to appropriately package all items in your consignment in a manner that ensures their safe transit by air, maintains their integrity, and complies with all applicable laws.
• You acknowledge and consent to Travel & Earn’s Open Box Policy (as outlined below), whereby you shall permit a Traveler to visually inspect all items prior to departure.
• You acknowledge that a Traveler is under no obligation to carry any item they have not been allowed to inspect, and you agree that a Traveler may cancel the transportation of your consignment without penalty if you refuse to allow inspection upon request.
• You acknowledge and agree that the maximum liability of Travel & Earn for loss, theft, or damage to items in your consignment shall be governed by the Travel & Earn Protection Plan.
• You further agree not to engage or solicit any Traveler to carry consignments outside of the Travel & Earn Platform. However, nothing herein shall prevent you from using other platforms or services, or from working with Travelers not connected with Travel & Earn, provided such solicitation is done via a general advertising medium not specifically targeting any current Traveler on the Travel & Earn Platform.
• You agree not to include personal information, including Personally Identifiable Information (PII), in the title of a consignment, such as phone numbers or addresses. All personal information should be entered in the designated sections of the platform when requesting delivery services.

Indemnification

You hereby agree to release, indemnify, defend, and hold harmless Travel & Earn, its parent, subsidiary, and affiliated companies, along with their successors, assigns, officers, owners, directors, agents, representatives, attorneys, and employees, from and against any and all third-party liabilities, losses, damages, fines, penalties, settlements, judgments, costs, and expenses (including reasonable attorney’s fees and costs) (collectively, “Losses”) arising out of any third-party claims, demands, actions, or proceedings (collectively, “Claims”) in connection with: (i) any act or omission by you or your personnel while using the services or performing your obligations under these terms and conditions; (ii) any breach of these Travel & Earn Terms & Conditions; (iii) any violation of applicable law or the rights of third parties, including other users of the Travel & Earn Platform, recipients, motorists, pedestrians, or others; and/or (iv) any unauthorized disclosure or use of Confidential Information.

Cancellation of Consignments by Senders

If you need to cancel a consignment, you are requested to do so at the earliest opportunity to notify the assigned Traveler and free them up for other assignments. To cancel a consignment, you may contact Travel & Earn Support or use the “Cancel Delivery” option within the Travel & Earn web portal.

Travel & Earn reserves the right to impose a cancellation fee (“Cancellation Fee”) if the consignment is canceled after pickup has been initiated, if incorrect dimensions or weight were provided, if the consignment does not fit in the designated vehicle, or if it contains Prohibited Items. This fee will be automatically charged to your account.

Open Box/Bag Policy and Packaging

Open Box Policy: Travel & Earn encourages the use of minimal or no packaging, both to promote sustainability and to prevent fraudulent or illegal use of the platform. When packaging is necessary, Travel & Earn strongly promotes an Open Box/Bag Policy. This means that packaging should be left open to allow a Traveler to inspect the contents before taking a pickup photo and departing with the consignment. If the packaging is not left open, the Traveler reserves the right to open the package for inspection or cancel the consignment without penalty. This policy is in place to ensure that no Prohibited Items, such as illegal substances, are being transported.

Packaging: Notwithstanding the promotion of minimal packaging, it remains your responsibility to ensure that all items in your consignment are packed in a manner that safeguards their condition, taking into account their fragility, value, and other relevant factors. Travel & Earn does not assume liability for any loss or damage to consignments if they are not adequately packed to withstand transit or if they are not packed in accordance with applicable laws.

Travel & Earn Protection Plan

Travel & Earn offers protection to Senders against loss, damage, or theft of items in eligible consignments, up to ₹100, at no additional cost under the Travel & Earn Protection Plan. Additional protection coverage is available for purchase through Travel & Earn’s insurance partners, which must be purchased at the time of booking. Exceptions and limitations apply. Travelers’ Responsibilities

Traveler Acknowledgements

Upon creating an account on the Travel & Earn Platform as a Traveler, you may be notified of available consignments for which you may submit offers to perform delivery services. However, nothing in these Terms & Conditions (T&Cs) guarantees that you will receive notifications of consignments or that your offers to carry consignments will be accepted.

You are under no obligation to offer to carry any consignments. You retain full discretion to offer or decline any posted consignments. However, once your offer is accepted, you are contractually bound by these T&Cs to carry the consignment in accordance with the Sender’s instructions and the Sender Requirements (as defined below).

The real-time tracking and photographic chain of custody features embedded in the Travel & Earn Platform are integral to your duty to perform the consignment in compliance with Sender Requirements.

The Travel & Earn Platform will automatically send you prompts and notifications, provide real-time tracking and status updates to Senders, send copies of pickup and delivery photos, and enable Travel & Earn Support to facilitate communication between you, the Senders, and the recipients, as required to complete the Gig. You also acknowledge that your personal phone number may be shared with third-party logistics providers (3PLs) to coordinate the delivery or collection of consignments.

Travel & Earn does not control the manner or method by which you carry out your duties. You are solely responsible for ensuring that you and your personnel meet the Sender Requirements for a posted consignment before offering to perform it. You are also solely responsible for determining the most efficient, effective, and safe manner to fulfill the Gig, including choosing the appropriate pickup, delivery, and route.

You are not required to wear any uniform or display any signage identifying you as part of the Travel & Earn Platform. Furthermore, you are solely responsible for all costs and expenses associated with using the Travel & Earn App and performing the consignment, including but not limited to: purchasing flights and related expenses, cellular equipment and data, insurance, luggage, packaging materials, and any other necessary equipment. Travel & Earn does not reimburse these costs.

Traveler Agreements, Representations, and Warranties

You hereby represent and warrant the following:

• You are at least 18 years old. If you do not meet this age requirement, you are prohibited from using the platform or carrying any consignments.
• Before offering to provide any delivery services, you possess the full right and authority to contract for carrying consignments.
• You will comply with all applicable laws while using the Travel & Earn Platform and carrying consignments.
• You will maintain a mobile device with the Travel & Earn App active and will not disable the app or its geolocation feature while carrying consignments.
• You agree to allow Travel & Earn Support and 3PLs to communicate with you as necessary and to share your personal phone number to facilitate the consignment process.
• You will use a true facial picture for your profile when creating your Travel & Earn account.
• Travel & Earn will not reimburse you for any costs or expenses related to your use of the platform or the consignment process, and you agree not to seek reimbursement for the same.
• You will possess all necessary travel itineraries prior to offering to carry any consignment.
• You will not offer to carry any consignment unless you are physically capable of handling it. Travel & Earn will not pay or reimburse you for medical expenses or any other costs if you are injured while carrying a consignment.
• You will promptly notify Travel & Earn if you discover or suspect any Prohibited Items in a consignment and will follow the best practices outlined regarding Prohibited Items.
• Travel & Earn does not pay a salary or hourly rate. Payment is made on a fixed or contract basis as outlined.
• Travel & Earn does not dictate the time of performance, although a completion schedule may be established for the consignment.

Indemnification

You agree to release, indemnify, defend, and hold harmless Travel & Earn, its parent, subsidiary, and affiliated companies, and their respective officers, owners, directors, agents, representatives, attorneys, and employees (“Travel & Earn Indemnitees”) from any and all liabilities, losses, damages, fines, settlements, judgments, costs, and expenses (including reasonable attorney’s fees) (“Losses”) arising out of third-party claims, demands, actions, or proceedings (“Claims”) in connection with: (i) any acts, omissions, or misconduct in your performance of delivery services or fulfillment of other obligations under these T&Cs; (ii) any breach of the Travel & Earn T&Cs; (iii) any violation of applicable law or third-party rights, including those of other Travel & Earn users, recipients, motorists, or pedestrians; (iv) any unauthorized disclosure or use of confidential information; and (v) the ownership, use, or operation of any vehicle used during the performance of delivery services.

Actions Leading to Temporary Suspension Or Permanent Termination Of User Accounts

Without prejudice to any other remedies available at law or in equity, Travel & Earn, at its sole discretion, may temporarily suspend Your account and initiate an investigation, which may result in permanent termination of Your account, under the following circumstances:

• If You are suspected, or credibly accused, of breaching any of the Terms and Conditions applicable to You, including any of Your agreements, representations, or warranties with Travel & Earn, or any other policies governing Your use of the Platform, as outlined in Support Articles;
• If Travel & Earn is unable to verify or authenticate any information provided by You during the use of or in relation to the Services;
• If Travel & Earn has reason to believe that Your actions may result in financial loss or legal liability to other Users, Travel & Earn, its affiliates, or its third-party service providers;
• If it is suspected, established, or credibly alleged that You have engaged in any fraudulent, illegal, dangerous, or harmful activity in connection with Your use of or access to the Travel & Earn Platform, or in relation to Your receipt or provision of Services, including but not limited to theft;
• If a claim is made concerning missing or damaged items in Your consignment;
• If Prohibited Items are found in Your consignment;
• If, as a Traveler, You cancel a Gig after accepting it, without reasonable cause;
• If, as a Traveler, You fail to show up to collect the consignment without reasonable cause;
• If You receive multiple complaints or consistently low ratings, either as a Traveler or as a Sender;
• If, as a Traveler, You have not offered to carry any consignments, or as a Sender, You have not posted any consignments, for a period of 90 days or more.

The User’s account shall remain suspended for the duration of any investigation related to the foregoing incidents or actions, for such time as Travel & Earn deems necessary at its sole discretion. Travel & Earn may, at its sole discretion, reactivate any account that was temporarily suspended. In the event of permanent termination of Your account, You may be entitled to appeal, as provided below.

You hereby irrevocably grant Travel & Earn full authority and rights to investigate and prosecute any violations of these Terms (including all documents and agreements referenced or incorporated herein) to the fullest extent permitted by law. This includes, but is not limited to, involving, cooperating with, or disclosing Your personal information to insurance companies, pursuant to a valid court order, and law enforcement authorities, in connection with such violations.

Without limiting other available remedies, Travel & Earn reserves the right to withhold payments, limit, suspend, or terminate Your User account, restrict access to the Platform, Apps, Websites, and their content (including Your own), Services, and tools, delay or remove hosted content, and take technical or legal measures to prevent You or any User from accessing the Platform, Apps, Websites, or any portion thereof, if Travel & Earn reasonably believes that such actions are necessary to mitigate risk, address potential legal liabilities, protect intellectual property rights of third parties, or to ensure compliance with the letter or spirit of these Terms and other published Travel & Earn policies.

Appeal Process

Travel & Earn undertakes a thorough investigation before making any decision to permanently deactivate a User’s account. However, in certain circumstances, Travel & Earn may permit a User to appeal the decision of permanent deactivation.

Appeals shall not be entertained for deactivation decisions arising from “zero tolerance” violations, such as criminal or fraudulent conduct while using the Platform or violations of Other Policies. As the reasons for permanent deactivation of a User’s account may vary, Travel & Earn reserves the right to determine eligibility for appeal on a case-by-case basis. A User is entitled to submit only one appeal. All decisions made by Travel & Earn concerning appeals are final and are not subject to further appeal. Detailed information regarding the appeal process can be found in the email notifying You of Your account deactivation. Should You believe that Your deactivation qualifies for an appeal, You must submit the appeal by adhering to the instructions provided in the deactivation notice.

Deactivated Accounts

In the event that Your account is permanently deactivated, Your account information shall be deleted in accordance with Travel & Earn’s Privacy Policy, and You will be removed from the Travel & Earn Platform, losing all access to or usage rights of the Platform. Permanent deactivation will result in the forfeiture of Your account, persona, and any associated privileges, certifications, badges, or other earned recognitions tied to Your account. If Your account was not deactivated for cause, You may create a new account on the Platform. However, if a User whose account was deactivated for cause attempts to open a new account, such action will be treated as a material breach of these Terms and Conditions, and the new account shall be deactivated immediately without notice or right to appeal.

Travel & Earn shall have no obligation to compensate any User for any losses incurred due to the deactivation of their account.

TRAVEL & EARN RESERVES THE RIGHT TO TEMPORARILY LOCK AND/OR PERMANENTLY DEACTIVATE YOUR ACCOUNT AT ITS SOLE DISCRETION, WITH OR WITHOUT NOTICE, AND WITHOUT ANY LIABILITY TOWARDS YOU.

Billing and Payment

Under these Terms and Conditions, Travel & Earn shall not, and does not, constitute a party to any agreements entered into between Users for the provision of Delivery Services via the Platform, including the Sender’s obligation to compensate the Traveler for the same. To enable Travel & Earn to facilitate payments related to the Delivery Services under these terms, all Users of the Platform are required to furnish their credit card, bank account details, and any other relevant information required for verification by the Payment Service Provider (“PSP”) engaged by Travel & Earn. By accepting these Terms and Conditions, each User acknowledges that they have downloaded, printed, and thoroughly reviewed and accepted the PSP Agreement. It is expressly clarified that Travel & Earn is not a party to the PSP Agreement and assumes no obligations or liabilities whatsoever towards any User in connection with the PSP Agreement.

Billing

Senders are obligated to pay for each Consignment as contracted, which encompasses: (i) the pricing terms provided to a Traveler for the Consignment, (ii) any applicable Cancellation fees related to the Consignment, and (iii) any additional fees assessed by Travel & Earn for the use of its Platform (collectively, the “Consignment Payment”). Unless otherwise agreed upon by Travel & Earn, any fees charged to a User for using the Travel & Earn Platform (including for receiving or performing any Services) are due immediately and are non-refundable. This non-refund policy applies irrespective of whether the User terminates their use of the Platform, Travel & Earn terminates the User’s access, any disruption to the Platform or Services (whether planned, accidental, or intentional), or any other reason. Travel & Earn reserves the right to modify pricing at any time, and pricing information displayed on the Travel & Earn Website may not always reflect current pricing.

Taxes

Users of the Platform shall be responsible for any taxes (including VAT/GST, if applicable) that arise from their use of or access to the Travel & Earn Platform, or from receiving or performing any Services, or from any Consignment Payment received (excluding taxes on Travel & Earn’s income).

Payment, Withholding, and Release

If a Traveler is accepted for a Consignment, they are solely responsible for completing the delivery of the Consignment as agreed upon prior to receiving payment. Travel & Earn may, at its sole discretion, place a hold on a Traveler’s Consignment Payment if the delivery does not comply with the Sender Requirements, any other instructions provided in the Delivery Services request, or these Terms and Conditions, or if Travel & Earn deems it necessary or advisable to place a hold for any reason, including, but not limited to, suspicions of breach of these Terms and Conditions or any applicable law. Should a Consignment Payment be placed on hold, Travel & Earn will release the payment to the Traveler upon validating the accounts and Consignment in question, at Travel & Earn’s sole but reasonable discretion. Travelers acknowledge that all Consignment Payments are as stated in the Consignment posting and will be paid in accordance with the chosen payment method. Travelers agree that all Consignment payments are facilitated through the Travel & Earn Platform via the PSP, and they will not seek any payment directly from the Sender or Consignment recipient, including store merchants. Travelers waive any right to initiate actions to claim Consignment payments directly from Senders or recipients on the Travel & Earn Platform.

Gratuities

Senders and recipients of Delivery Orders may provide gratuities to Travelers, who shall retain 100% of any gratuity received. However, Travelers acknowledge that by agreeing to carry a Consignment, they have committed to the compensation amount specified in the Delivery Services request. Any additional gratuity or compensation is entirely voluntary, and Travelers agree not to solicit or imply any obligation for extra compensation or gratuities from Senders or recipients.

Unexpected Costs

Travelers agree that the Consignment Payment amount will not be adjusted to cover any anticipated or unanticipated costs or expenses incurred during the performance of their Gigs, including additional travel expenses. Travelers understand that their costs and expenses may exceed the payment received for the Consignment, potentially resulting in a financial loss.

Intellectual Property

Ownership of Travel & Earn Intellectual Property

Travel & Earn exclusively owns and retains all rights, titles, and interests in and to the Travel & Earn Platform, including but not limited to its products, services, Confidential Information, Travel & Earn Content (as defined below), trademarks, service marks, trade names, logos, logotypes, insignia, inventions, and any matter protected by copyright or patent. This encompasses database rights, software, patents, design rights (whether registered or unregistered), trade secrets, and other similar proprietary rights, whether or not currently registered, worldwide. This collection of rights shall be referred to as “Travel & Earn Intellectual Property.” All drawings, designs, artwork, tapes, prints, plates, source code, modifications, extensions, upgrades, and derivative works related to Travel & Earn’s Intellectual Property, as well as any discoveries, ideas, inventions, improvements, or other original materials, whether machine-readable or not, shall remain the property of Travel & Earn and may not be copied or duplicated in any form. Travel & Earn reserves the right to use, exploit, disclose, or publish any Feedback (as defined below) without compensation or credit to You or any provider of such Feedback. “Feedback” encompasses suggestions for corrections, modifications, or improvements to the Travel & Earn Platform or Services, evaluation data and performance reports, and other ideas related to the Platform or Services.

Your Access and Use of the Travel & Earn Platform

Subject to Your adherence to these Terms and Conditions (T&Cs), Travel & Earn grants You a limited, non-exclusive, non-transferable, non-sublicensable, and non-assignable license to access and use the Platform on any authorized Android or Apple Device that You own or control, as permitted by the Usage Rules outlined in Section B of the Services and Content Usage Rules (the “Usage Rules”). This license does not permit the use of the Platform on any device not owned or controlled by You. Any upgrades to the Travel & Earn Platform provided by Travel & Earn shall be governed by the terms of this grant, unless a separate grant accompanies the upgrade, in which case the terms of that grant will apply. You acknowledge that the availability of the Platform is subject to the third-party source from which You received the application license, such as the Apple App Store or Google Play Store (“App Store”). This agreement is solely between You and Travel & Earn, and not with any App Store. Travel & Earn is solely responsible for the Platform, including mobile applications, content, maintenance, support services, and any related claims. To use the Platform, You must have access to a wireless network and agree to pay all associated fees. Additionally, You are responsible for any fees charged by the App Store in connection with the Platform. Compliance with all applicable third-party terms (e.g., App Store terms) is required for Your license to use the Platform.

Each App Store and its affiliates are intended third-party beneficiaries of this agreement with the right to enforce its terms and conditions. Travel & Earn reserves the right to cease offering and/or supporting the Platform or any part of it at any time, which will result in the automatic deactivation of Your access to the Platform and Services. Travel & Earn will not be obligated to provide refunds or compensation for any discontinuation of the Platform or access to Services.

Prohibited Activities

You agree not to:

• License, sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit or make available the Platform to any third party.
• Use or commercially exploit Travel & Earn’s logos, trademarks, service marks, and trade names, including on any website, or challenge Travel & Earn’s ownership or registration of these marks, or attempt to register any confusingly similar marks.
• Modify or create derivative works based on the Platform.
• Create internet links, alternate access points, or frame or mirror any part of the Platform.
• Reverse engineer or access the Platform to copy its ideas, features, functions, or graphics to build competitive products or services.
• Launch automated programs or scripts that may disrupt or impair the Platform’s operation or performance, including viruses, worms, or bots.
• Attempt to gain unauthorized access to the Platform, circumvent security measures, or use the Platform to send spam or unlawful content.

Content

Licenses Granted by Travel & Earn: Travel & Earn grants You a limited, non-exclusive, non-transferable, non-sublicensable, and non-assignable license to view, download, and print any content made available through the Platform or Travel & Earn’s social media pages and feeds (“Travel & Earn Content”), and to view any content posted, uploaded, published, submitted, or transmitted by Users (“User Content”), collectively known as “Collective Content.” Neither Travel & Earn Content nor User Content includes information provided or received during the performance or receipt of Delivery Services, such as pickup and delivery photos. Posting such media on social media is considered a material breach of these T&Cs. Collective Content is for personal and non-commercial use only. You may not use, copy, adapt, modify, distribute, license, sell, or otherwise exploit Collective Content except as expressly permitted by these T&Cs. No additional rights are granted to You by implication in any intellectual property owned by Travel & Earn or its licensors.

Social Media: Travel & Earn maintains social media pages to foster a welcoming community for meaningful dialogue. By engaging with Travel & Earn’s social media, You agree to comply with Travel & Earn’s Social Media Guidelines. Travel & Earn does not monitor User Content for legality and reserves the right to remove or disable access to content that violates its guidelines or these T&Cs without prior notice.

License Granted by User: By posting or making available User Content on the Platform, You grant Travel & Earn a worldwide, irrevocable, perpetual, exclusive, transferable, royalty-free license to use, view, copy, adapt, modify, distribute, license, sell, publicly display, publicly perform, transmit, stream, broadcast, and otherwise exploit such User Content. Travel & Earn may use User Content for any purpose without acknowledgment or compensation to You. You remain responsible for ensuring that Your User Content does not infringe or violate any third-party intellectual property rights or applicable laws.

Marks License: You grant Travel & Earn a worldwide, royalty-free, non-exclusive license to use and display Your name, logos, trademarks, service marks, and trade names (“Marks”) in customer lists, case studies, press releases, and other promotional materials. You warrant that You own or have rights to use the Marks and that their use by Travel & Earn will not infringe any third-party rights. Any goodwill from the use of Marks will benefit You.

Third-Party Content and Interactions

Through the Travel & Earn Platform, You may interact with third-party service providers or participate in promotions (“Third-party Content”). Any agreements, correspondence, or transactions with third parties are solely between You and the third party. Travel & Earn, its affiliates, and licensors are not responsible for any Third-party Content or associated agreements. Travel & Earn does not endorse Third-party Content or external sites linked through the Platform and is not liable for any Third-party Content or materials from such sites.

Miscellaneous

No Warranties, Express or Implied

The Services and the Platform are provided to you on an “as is” basis, with no warranties of any kind, whether express or implied. This includes, but is not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement. Travel & Earn disclaims all such warranties to the fullest extent permitted by applicable law.

Without limiting the generality of the foregoing, Travel & Earn and its affiliates or licensors do not represent, warrant, or guarantee:

• The accuracy or completeness of any content provided through the Platform or any content on websites linked to the Platform;
• That access to the Services or the Platform will be uninterrupted, error-free, secure, timely, or compatible with any Device, hardware, application, system, or data;
• The results that may be derived from the use of the Services or the Platform;
• That the Services or the Platform, or any products, services, information, or other material purchased or obtained through the Platform, will meet your requirements or expectations;
• The timeliness, accuracy, or reliability of any User;
• The timeliness, accuracy, or reliability of the Services or the Platform, or any information or materials provided in connection with the use of the Services, Platform, or App;
• That the Platform is free from viruses, worms, Trojan horses, or other harmful components;
• That any errors or defects in the Services or the Platform will be corrected; or
• That any personal information you provide will not be misappropriated, intercepted, deleted, destroyed, or misused by others.
• Furthermore, Travel & Earn does not warrant, endorse, guarantee, or assume responsibility for any service advertised or offered by third parties through the Platform, any hyperlinked website, or any banner or other advertisement. Travel & Earn shall not be involved in or responsible for monitoring any transactions between you and third-party providers of products or services.

Disclaimer of Liability

Neither Travel & Earn, nor its affiliates or licensors, shall be held responsible for the actions or conduct of any user of our Platform, whether online or offline. Travel & Earn, along with its officers, directors, employees, agents, representatives, affiliates, and licensors, shall not be liable for any loss, claim, injury, or damage arising from your use of the Platform or from receiving or providing services. You hereby release Travel & Earn, its officers, directors, employees, agents, representatives, affiliates, and licensors from any liability related to the use of our Platform or the receipt or provision of services, including any conduct or misconduct by a user.

Travel & Earn expressly disclaims any liability that may arise between users of its Platform. Use of our Platform and the provision or receipt of services thereunder is entirely at your own risk. Travel & Earn currently does not and has no obligation to assess the suitability, legality, or capability of any user to perform or complete a Gig.

Under no circumstances shall Travel & Earn, its affiliates, licensors, or any of their agents, employees, officers, directors, corporate partners, or participants be liable to you, any other user, or any third party for any indirect, incidental, consequential, punitive, special, or exemplary damages arising in connection with your use of or inability to access or use the Platform or Services. This includes reliance placed on the completeness, accuracy, or existence of any advertising, or any relationship or transaction between users, third-party service providers, advertisers, or sponsors whose advertisements appear on the website or who are users of the Platform. This also includes claims for personal injury, loss of data, revenue, profits, use, or other economic advantage, even if all parties have been advised of the possibility of such damages.

You acknowledge and agree that Travel & Earn is willing to provide the Platform for your use only if you accept the above limitations of liability.

Travel & Earn shall not be liable for any loss or damage arising from:

• False, misleading, inaccurate, or incomplete information provided by a Member;
• Cancellation of a Gig by a Sender or Traveler;
• Failure to make a payment of a Cost Contribution (for free services without booking);
• Any fraud, fraudulent misrepresentation, or breach of duty by a Sender or Traveler, during or after a Gig.

Travel & Earn shall not be liable to any user for any business, financial, or economic loss, or for any consequential or indirect loss such as loss of reputation, lost bargain, lost profit, loss of anticipated savings, or lost opportunity arising from the services provided by Travel & Earn, whether due to negligence or otherwise.

Travel & Earn’s liability to any Member in respect of any Gig is capped at ₹100 (Indian Rupees One Hundred only).

Travel & Earn will not be liable to any Member in relation to any Gig unless Travel & Earn is notified of a claim concerning that Gig within 3 months of its completion.

Waiver and Release

Acknowledgement and Release

You acknowledge that users providing or receiving services via the Travel & Earn Platform may not be insured, licensed, or otherwise authorized. You expressly agree to release and hold harmless Travel & Earn, its affiliates, licensors, promotional partners, and any of their agents, employees, officers, directors, corporate partners, or participants from any and all liability for any damages, suits, claims, and/or controversies (collectively, “Liabilities”) that have arisen or may arise in connection with a user’s performance or receipt of services under this agreement, or from any third party introduced to you by the Platform. This includes, but is not limited to, any Liabilities arising from:

• The conduct, acts, or omissions of any user (including stalking, harassment—whether sexual or otherwise—physical violence, and destruction of personal property);
• Failure of a user to be adequately insured, licensed, or permitted;
• Any disputes with users;
• Any instruction, advice, act, or service provided by Travel & Earn or its affiliates or licensors;
• Any destruction of your information, whether known or unknown.

This release applies whether such conduct, act, or omission occurs during your use or access of the Platform or App, or during the performance of a Gig. You expressly waive and release Travel & Earn from any and all liability, claims, or damages arising from or related to a user’s performance or receipt of services under this agreement, or any other third party introduced to you by the Platform.

Limitation of Liability

Notwithstanding the foregoing limitations, exclusions, waivers, and releases, if it is determined that Travel & Earn, its affiliates, licensors, promotional partners, or any of their agents, employees, officers, directors, corporate partners, or participants are liable for damages, the aggregate liability, whether arising from contract, tort, strict liability, or otherwise, shall not exceed the total amounts paid by or earned by you, as applicable, during the six months preceding the time the claim arose.

Notices

Travel & Earn may issue general notices to users regarding the Platform, these Terms and Conditions (T&Cs), or other matters via the App and/or electronic mail to the email address recorded in Travel & Earn’s account information. Any legal or formal notices, requests, or other communications required or permitted under these T&Cs must be made in writing and delivered either by hand or by overnight courier to the appropriate party at the address provided below.

You may send notices to Travel & Earn at any time via email at legal@TravelAndEarn.com. Travel & Earn will send notices to users at the email and/or physical addresses provided by the user when setting up their account on the Travel & Earn Platform.

Notices will be considered given upon the expiration of five (5) business days after mailing, if not received earlier, or forty-eight (48) hours after sending if sent by email.

Relationship Between Travel & Earn, Travelers, and Senders

No joint venture, partnership, employment, or agency relationship exists between you and Travel & Earn, any other user, or any third-party provider as a result of creating an account on the Travel & Earn Platform, agreeing to these T&Cs, or using, providing, or receiving services via the Platform.

Entire Agreement

Unless Travel & Earn has entered into a separate written agreement with you addressing your access to or use of our Platform, Services, and Delivery Services, these T&Cs, along with all agreements and documents referenced herein, constitute the entire agreement between you and Travel & Earn. This agreement supersedes all prior or contemporaneous negotiations, discussions, or agreements, whether written or oral, regarding your use of and access to the Travel & Earn Platform, our Services, and the Delivery Services.

If any provision of these T&Cs is deemed invalid or unenforceable, such provision shall be revised minimally to align with the original intent of these T&Cs, and the remaining provisions shall remain in full force and effect under applicable law. The failure of Travel & Earn to enforce any right or provision under these T&Cs shall not constitute a waiver of such right or provision.

Notwithstanding the above, if you have entered into a Dispute Resolution and/or Arbitration Agreement with Travel & Earn or any affiliate, such document shall form part of our agreement governing your access to and use of the Travel & Earn Platform. Any Dispute Resolution or Arbitration Agreement with Travel & Earn or any affiliate is distinct from these T&Cs, and no update or modification to these T&Cs renews the opportunity to opt out of such agreement and/or waiver. If you have any separate agreements with Travel & Earn or any affiliate addressing your access to or use of our Platform, Services, or Delivery Services, the terms of those agreements will govern your access to and use of the Travel & Earn Platform, Services, and Delivery Services.

Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi.
